How to Submit Wyoming Business Filings

One of the great things about our state is that they’ve made it easy to submit some business filings online. The Secretary of State allows you to form or register a new business, file an annual report, request a certificate of good standing, submit a reinstatement, or register digital assets easily on the Secretary of State’s website.

However, not all business filings (Trade Name filings, for example) are able to be submitted online. Those filings, as well as the filings with online options, can be submitted as a paper filing through the mail or in person. In these cases, you will need to find the correct form on the Secretary of State’s website, complete it, and submit it along with payment for the state’s fees.

One thing to keep in mind when deciding on a filing method is how quickly you need your business filing processed. Generally speaking, most online submissions are processed immediately. However, mailed submissions and in-person submissions can take longer. Sometimes up to 15 business days, plus mailing time.

Cost of Wyoming Business Filings

The required filing fee for submitting your paperwork to the state will depend on the type of form you’re filing. Business filings cost anywhere from $10 to over $500.

Processing times vary depending on how you submitted your filing.

Online filings are processed immediately.

*A note about Annual Report filing fees: You’ll notice that the cost to file an annual report ranges widely. This is because in the state of Wyoming, businesses pay the total amount of the required license tax. In rare cases, some businesses may owe more than $500. If this is the case, E-filing of an Annual Report is not accepted. The convenience fee also depends on the license tax. Do I get a copy of my filing after it’s processed?

Once your business filing has been processed, the Wyoming Secretary of State will send you a copy, certificate, and receipt for your records. If you submitted your filing online, you’ll be able to download these documents online. If you mailed in your submission or submitted a paper copy in person, the state will mail the documents to you.

Do I need original signatures on my WY business filings?

All filings in the state of Wyoming must have original signatures. So, if you are submitting a paper filing, make sure these are included. Your registered agent is also required to sign a registered agent consent form.

Do Wyoming businesses have to file an Annual Report?

All businesses formed or registered in Wyoming are required to submit an annual report to the Secretary of State. Your annual report is due the first day of your anniversary month. For example, if you formed your WY LLC on July 8, your annual report will be due July 1st every year.

Failure to submit an annual report on time can result in your businesses being deemed “delinquent.” After a business has been declared delinquent, you have 60 days to submit your annual report. If you do not submit your report within that 60 day window, your business will administratively dissolved.

The state’s Business License tax is due with your annual report, so the cost to file your report will depend on your company’s assets located and employed within Wyoming. The cost of the tax is $60 or two-tenths of one mill on the dollar ($.0002). You’ll pay whichever amount is greater.

How do I change my Wyoming registered agent?

You can change your Wyoming registered agent by filing a Statement of Change by Business Entity form along with a consent form from your new registered agent. The filing fee is $5 per business entity.

If you are changing agents, make sure to notify your former agent that you are no longer using them, so they can send any important mail they may get on your behalf after the change to the right place.

What happens if the information on my filing is incorrect?

It’s important to get the information on your state filings correct the first time. If you do include false or incorrect information on your filing, you’ll want to fix it as soon as possible. There are consequences for including the wrong information on state filings, including loss of good standing and falling into non-compliance with the state. In serious cases of non-compliance, the state has the power to administratively dissolve your business.

There are a couple different ways to correct your filing, depending on which documents need to be fixed. If you need to make changes to your LLC’s Articles of Organization or your corporation’s Articles of Incorporation, you will need to file an amendment. If you need to correct small errors like misspellings or bad signatures, you’ll need to file a State of Correction.
