This is a document that authenticates that a business entity is in “good standing” with the State. It certifies that a business entity has filed and continued to file all appropriate business paperwork with the State, as well as paid all fees.

It is important to recognize that this is not an indication of the moral, ethical or legal endeavors of a company. Nor does it indicate that a company has paid all taxes, or is financially solvent, or does not employ members currently being indicted for criminal behavior.

Good standing strictly regards a company’s business filing status and whether or not it has paid appropriate fees to maintain registration with the state.

It is necessary in order to operate in multiple states or in other countries.

For example, if your business is based in Wyoming, but you wish to do business in Oregon, you would need to register with the Oregon Secretary of State. That office will request a certificate of good standing from Wyoming, proving that your business exists and is properly registered to conduct business in its home State.
